1. COMPANY INFORMATION
These Terms and Conditions (hereinafter "Terms") govern the use of the coworking facilities, services and online platform operated under the brand "GoNetworking Space" by:

(hereinafter referred to as the "Provider", "we", "us" or "our")

2. DEFINITIONS
For the purposes of these Terms, the following definitions apply:
- "Member" / **"Client" / "You": any natural or legal person who books, purchases or uses any service of the Provider.
- "Coworking Space": the physical premises located at Budapeshta Street 5, 1000 Sofia, Bulgaria.
- "Services": all products, memberships, bookings and additional services offered by the Provider as described in Section 4.
- "Booking": any reservation made for a workspace, meeting room, private office, virtual office package or hour package.
- "Membership": any recurring subscription product offered by the Provider.
- "House Rules": the rules of conduct applicable within the Coworking Space, as set out in Section 10.
- "Business Day": Monday through Friday, excluding official public holidays in the Republic of Bulgaria.

3. SCOPE AND ACCEPTANCE
3.1 These Terms apply to all contractual relationships between the Provider and the Member regarding the use of the Coworking Space and the Services.
3.2 By booking a Service, signing a membership agreement, entering the Coworking Space, or otherwise using any of the Services, the Member confirms that they have read, understood and accepted these Terms in full.
3.3 Deviating, conflicting or supplementary general terms of the Member shall not become part of the contract unless expressly accepted in writing by the Provider.
3.4 The Provider reserves the right to refuse access or service to any individual at its sole discretion, in particular in cases of breach of these Terms or the House Rules.

4. SERVICES OFFERED
The Provider offers the following Services. Specific prices are published on the website www.gonetworking.space and/or in the Member portal and may be updated from time to time.
4.1 Free Day Trial
- A one-time, single-day access entitling the Member to work at any available desk in the Coworking Space.
- Limited to one (1) trial per person, identified by valid ID and unique e-mail address.
- Includes use of all general amenities (printer, kitchen, lounge, Wi-Fi, complimentary refreshments).
4.2 Lounge Pass
- Entitles the holder to use the Coworking Space for one (1) full day, limited to the lounge and kitchen areas.
- Does not include the right to occupy a dedicated workstation.
4.3 Hourly Desk Booking
- Workstations may be booked on an hourly basis.
- Cancellations are accepted up to one (1) hour before the start of the booking and are fully refundable, **except for transaction fees**, which are non-refundable.
- Cancellations made less than one (1) hour before the start of the booking are non-refundable.
4.4 Day Pass
- Entitles the holder to one (1) full day of access to a free workstation within the Coworking Space.
4.5 Premium Membership & Premium Membership Plus
- Includes a dedicated desk for one (1) calendar month.
- Includes **four (4) hours of conference room use** per month. Additional hours are subject to a discounted member rate.
- Unused-day rollover: If the Member notifies the Provider at least five (5) days in advance that specific days within the month will not be used, the dedicated desk may be released to other clients during those days, and the Member may use the corresponding number of unused days within twelve (12) months from the date of the original membership purchase. Each rolled-over day shall be treated as a Day Pass.
- Minimum term: one (1) month.
- **Renewal & termination**: The Membership renews automatically for additional periods of the same duration unless terminated by either party with at least **five (5) days' notice** prior to the end of the current term.
4.6 Conference Room Booking
- The conference room may be booked in minimum increments of thirty (30) minutes.
- Bookings are subject to availability and confirmed on a first-come, first-served basis.
4.7 Private Office Rental
- Entire private offices may be rented within the Coworking Space.
- Minimum term: twelve (12) months.
- Notice period: one (1) month.
- Security deposit**: one (1) monthly rent, payable upon signature of the agreement and refundable at the end of the contract, subject to any deductions for damages or outstanding amounts.
- Includes weekly cleaning, office equipment, and use of the kitchen and its contents.
4.8 Virtual Office Premium & Business Address PLUS
- Minimum term: twelve (12) months.
- Grants the right to register a company at the address Budapeshta Street 5, 1000 Sofia, Bulgaria.
- Includes general access to the Coworking Space and discounted rates on conference room and workstation bookings.
- Virtual Office Premium additionally includes a flat-rate (unlimited) usage allowance for the conference room, subject to fair use and availability.
- Notice period: thirty (30) days prior to the end of the contractual term. Failing such notice, the contract renews automatically for an additional twelve (12) months.
4.9 Hour Packages (40h / 80h)
- The Member may purchase prepaid hour packages of forty (40) or eighty (80) hours at a discounted rate.
- Purchased hours must be used within twelve (12) months from the date of purchase. Unused hours expire without entitlement to refund.
4.10 Additional Hardware Rental
- Workstations include the right to use all built-in equipment.
- Additional hardware may be rented for an additional fee, including (but not limited to): monitors, drones, computers, keyboards and mice, webcams, laptops, headphones.
- Rented hardware remains the property of the Provider and must be returned in the condition in which it was received.

5. INCLUDED AMENITIES
Unless explicitly excluded, every paid Booking and Membership includes:
- Use of the printer
- Use of the kitchen and lounge areas
- 24/7 access to the office via manual access system
- Complimentary drinks, snacks, fruit and beer
- Use of a self-storage locker for the duration of a valid Booking or Membership
- Complimentary high-speed Wi-Fi via three (3) access points, provided by A1 Bulgaria
Complimentary refreshments are subject to fair use. The Provider reserves the right to limit individual consumption in cases of abuse.

6. OPENING HOURS AND ACCESS
6.1 The Coworking Space is open **24 hours a day, 7 days a week, 365 days a year**.
6.2 Access is provided via a manual access system. Members are personally responsible for safeguarding their access credentials and must not share them with third parties.
6.3 The Provider may temporarily restrict access for maintenance, safety reasons, force majeure events or compliance with applicable law. Members shall be notified in advance whenever reasonably possible.

7. BOOKINGS, FEES AND PAYMENT
7.1 All bookings are made through the Provider's website, member portal, by e-mail, or in person.
7.2 Prices are quoted in the currency displayed at the time of booking and include applicable Bulgarian VAT, unless stated otherwise.
7.3 Payment terms:
- Day Passes, Lounge Passes, Free Day Trials, hourly bookings and hour packages: payable in advance at the time of booking.
- Memberships: payable monthly in advance.
- Private Offices and Virtual Office services: payable monthly in advance, plus the applicable security deposit upon signature.
7.4 Accepted payment methods are indicated during the booking process (e.g. credit/debit card, bank transfer, online payment providers).
7.5 In case of late payment, the Provider reserves the right to suspend access until full payment has been received and to claim statutory default interest in accordance with Bulgarian law.
7.6 **Transaction fees** charged by payment service providers are non-refundable under any circumstance.

8. CANCELLATION, TERMINATION AND REFUNDS
8.1 Hourly Desk Bookings: cancellable free of charge up to one (1) hour before the start of the booking; transaction fees are non-refundable.
8.2 Memberships (Premium / Premium Plus): minimum term of one (1) month; must be terminated at least five (5) days before the end of the current term to avoid automatic renewal.
8.3 Private Offices: minimum term of twelve (12) months; notice period of one (1) month; security deposit equivalent to one month's rent.
8.4 Virtual Office Premium / Business Address PLUS: minimum term of twelve (12) months; notice period of thirty (30) days. In the absence of timely notice, the contract renews automatically.
8.5 Hour Packages: non-refundable; unused hours expire twelve (12) months after purchase.
8.6 All notices of termination must be sent in text form (e-mail to hello@gonetworking.space is sufficient).
8.7 The Provider may terminate any agreement for cause and with immediate effect in particular in case of:
- material breach of these Terms or the House Rules;
- payment default exceeding fourteen (14) days after due date;
- behavior that endangers other Members, employees or the property of the Provider;
- use of the address for unlawful or fraudulent purposes (Virtual Office).

9. GUESTS
9.1 Members may invite up to five (5) guests at a time without prior registration.
9.2 For groups of more than five (5) guests, prior request and confirmation by the Provider is required due to increased service and cleaning requirements. Additional fees may apply.
9.3 The Member remains fully responsible for the conduct of their guests during their stay in the Coworking Space.

10. HOUSE RULES AND CONDUCT
10.1 Members shall behave in a respectful, professional and considerate manner at all times.
10.2 Phone calls and online meetings: When booking a workstation, short phone calls or online meetings may be conducted at the desk using headphones. "Short" is defined as a maximum of thirty (30) minutes. For longer calls or meetings, Members shall use the conference room (subject to availability) or the lounge area. No additional fee shall be charged for such use.
10.3 Smoking, the use of illegal substances, and the consumption of own alcoholic beverages (other than the complimentary beer provided) are not permitted inside the premises.
10.4 The Member shall treat all furniture, equipment and facilities with due care. Damages caused intentionally or negligently shall be reimbursed by the Member.
10.5 The Provider may issue additional house rules from time to time, which shall form an integral part of these Terms upon publication in the Coworking Space or via the member portal.

11. USE OF FACILITIES AND EQUIPMENT
11.1 Equipment installed at a booked workstation may be fully used during the booking period.
11.2 Additional hardware (monitors, drones, computers, keyboards, mice, webcams, laptops, headphones, etc.) may be rented separately. Rental terms and prices are made available upon request.
11.3 The Member is liable for loss, theft or damage of rented hardware during the rental period, except where caused by force majeure or by the Provider.
11.4 Self-storage lockers are made available for personal items. The Provider assumes no liability for items stored in lockers. Lockers must be cleared upon expiry of the Booking or Membership.

12. INTERNET AND IT POLICY
12.1 The Provider offers complimentary high-speed Wi-Fi through three (3) access points provided by A1 Bulgaria.
12.2 The Provider does not guarantee uninterrupted availability, specific bandwidth or security of the network. The Member uses the network at their own risk.
12.3 The Member shall not use the network for any unlawful purpose, including but not limited to copyright infringement, distribution of malware, hacking, or transmission of illegal content.
12.4 The Member is responsible for the security of their own devices and data, including the use of antivirus software, firewalls and encryption.

13. VIDEO SURVEILLANCE
13.1 For the protection of persons and property, the Coworking Space is monitored by CCTV cameras **24 hours a day, 7 days a week**.
13.2 Recordings are stored for a maximum of **seven (7) days** and are automatically deleted thereafter, unless retention is required by law or for the establishment, exercise or defense of legal claims.
13.3 The data controller is Solar Germany EOOD (see Section 1). Further details on the processing of personal data are set out in Section 15.

14. LIABILITY
14.1 The Provider shall be liable without limitation for damages caused intentionally or by gross negligence, and for damages resulting from injury to life, body or health.
14.2 In all other cases, the Provider's liability shall be limited to foreseeable damages typical for this type of contract.
14.3 The Provider shall not be liable for:
- loss, theft or damage of personal belongings of the Member or their guests;
- interruptions of internet, electricity or other utilities not caused by the Provider;
- damages resulting from improper use of equipment by the Member;
- business interruption or loss of profits.
14.4 The Member shall indemnify and hold the Provider harmless from any third-party claims arising out of the Member's use of the Coworking Space or breach of these Terms.
14.5 The Member is strongly advised to maintain their own insurance covering personal belongings, professional activities and third-party liability.

15. DATA PROTECTION (GDPR)
15.1 The Provider processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the Bulgarian Personal Data Protection Act.
15.2 Data Controller: Solar Germany EOOD, contact details as stated in Section 1.
15.3 Purposes of processing include: provision of services, contract management, billing, communication, video surveillance for security purposes, and compliance with legal obligations.
15.4 Legal bases are Art. 6(1)(b) GDPR (contract performance), Art. 6(1)(c) GDPR (legal obligation), Art. 6(1)(f) GDPR (legitimate interests, including security and operation of the premises), and, where applicable, Art. 6(1)(a) GDPR (consent).
15.5 Retention: Personal data is retained only as long as necessary for the stated purposes or as required by law. CCTV recordings are deleted automatically after seven (7) days.
15.6 Your rights: Members have the right to access, rectification, erasure, restriction of processing, data portability, objection, and to lodge a complaint with the Commission for Personal Data Protection (CPDP) of the Republic of Bulgaria.
15.7 Requests regarding data protection may be submitted to: hello@gonetworking.space.
15.8 A separate, more detailed Privacy Policy may be published on the website www.gonetworking.space and forms an integral part of these Terms.

16. INTELLECTUAL PROPERTY
16.1 All trademarks, logos, content and materials made available by the Provider remain the exclusive property of Solar Germany EOOD or its licensors.
16.2 The Member shall not use the brand "GoNetworking" or any associated trademarks without the prior written consent of the Provider.
16.3 The Member retains all intellectual property rights to their own work created at the Coworking Space.

17. FORCE MAJEURE
17.1 Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, epidemics, governmental measures, war, terrorism, strikes, power outages, internet outages, or fire.
17.2 In such cases, performance obligations shall be suspended for the duration of the force majeure event. If the event continues for more than thirty (30) consecutive days, either party may terminate the contract in writing without further liability.

18. AMENDMENTS
18.1 The Provider reserves the right to amend these Terms at any time for valid reasons (e.g. changes in law, adjustment of services, security requirements).
18.2 Members shall be notified of material amendments at least thirty (30) days in advance by e-mail or via the member portal.
18.3 If the Member does not object in writing within thirty (30) days of notification, the amendments shall be deemed accepted. The Provider shall expressly inform the Member of this consequence in the notification.

19. SEVERABILITY
Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.

20. GOVERNING LAW AND JURISDICTION
20.1 These Terms and all contractual relationships between the Provider and the Member shall be governed by the laws of the Republic of Bulgaria, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
20.2 Mandatory consumer protection provisions of the Member's country of habitual residence remain unaffected for Members acting as consumers.
20.3 The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms shall be the competent courts of Sofia, Bulgaria, to the extent permitted by law.
20.4 Consumers may also submit disputes to the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.

21. LANGUAGE
21.1 The legally binding language of these Terms is English.
21.2 Translations into other languages are provided for convenience only. In the event of any discrepancy, the English version shall prevail.
